Bill has substantial experience in representing physicians, physician practice groups, hospitals, ambulatory surgery centers, and ancillary healthcare providers in connection with various healthcare related matters including (i) the interpretation and application of the federal anti-fraud and abuse statute, Texas illegal remuneration laws and the Stark law, (ii) structuring and documenting physician joint venture and affiliation transactions, (iii) organizing and developing medical practice groups, including the preparation of corporate governance documents, shareholder agreements, partnership agreements, and physician peer review and medial staff management, (v) negotiating various contracts between physicians and institutional healthcare providers, including medial director, consulting and service agreements, (vi) contracting for managed care, and (vii) forming IPAs, MSOs, and other managed care delivery systems.
Bill also has a broad, general business practice that includes regular representation of (i) acquiring companies and target companies in domestic and international business combinations of all types, including negotiated mergers and acquisitions and dispositions of stock or assets, or both, involving public and private companies, (ii) entrepreneurs engaged in starting new business or developing emerging growth companies, (iii) issuers in public and private debt and equity financings, (iv) private and publicly-held companies in connection with their general business needs, including contract preparation and corporate governance and compliance matters, (v) participants in strategic joint venture arrangements, including entities partnered with local businesses in Asia, Europe, and South America, and (vi) borrowers and lenders in commercial lending transactions.
