Overview:

A Corporate Associate Attorney is a legal professional who advises businesses on their legal rights, obligations, and privileges. This role involves handling various corporate transactions, including mergers and acquisitions, joint ventures, corporate restructurings, and securities offerings. The associate collaborates under the supervision of corporate Shareholders and ensures all corporate transactions comply with applicable laws and regulations.

Requirements and Qualifications

Qualifications:

  1. Education and Licensing:
    • Juris Doctor (JD) degree from an accredited law school.
    • Active bar membership in the jurisdiction where the attorney will practice.
  2. Experience:
    • 3 to 4 years of experience in corporate law, preferably in a recognized national or regional law firm specializing in corporate practice.
    • Significant experience with mergers and acquisitions, corporate governance, and securities law is highly desirable.
  3. Skills:
    • Strong analytical and research skills.
    • Excellent written and verbal communication abilities.
    • Accomplished in drafting and negotiating complex legal documents.
    • Ability to work independently with minimal supervision and as part of a team.
    • Strong attention to detail and organizational skills.
  4. Competencies:
    • Ability to manage multiple projects and meet deadlines.
    • Strong client service orientation and interpersonal skills.
    • High ethical standards and professional integrity.

Roles and Responsibilities

Key Responsibilities You will be primarily responsible for the following responsibilities and will be expected to have experience sufficient to handle these matters with minimal supervision:

  1. Corporate Transactions:
    • Assist in the preparation, negotiation, and execution of corporate transactions such as mergers and acquisitions, divestitures, joint ventures, financings, and strategic alliances. 
    • Conduct due diligence investigations and prepare related reports.
  2. Contract Drafting and Review:
    • Draft, review, and negotiate various contracts, including purchase agreements, confidentiality agreements, Shareholder agreements, loan agreements, and employment contracts.
    • Ensure that contracts comply with applicable laws and regulations.
  3. Legal Research and Analysis:
    • Conduct legal research and analysis on various corporate legal issues.
    • Prepare memoranda, legal opinions, and other documents as required.
  4. Corporate Governance:
    • Assist clients in forming entities and developing and implementing corporate governance policies and procedures.
    • Advise on corporate structure, Shareholder rights, and board responsibilities.
  5. Compliance:
    • Ensure clients comply with federal, state, and local regulations.
    • Advise clients on securities laws, antitrust regulations, and other legal requirements.
  6. Client Relations:
    • Serve as a point of contact for clients, addressing their legal concerns and inquiries.
    • Develop and maintain strong client relationships to ensure ongoing business and legal support.
  7. Due Diligence:
    • Conduct due diligence in support of mergers, acquisitions and finance transactions. Assess risks and advise clients of issues. Prepare due diligence memorandums and summaries. The purchase and sale of businesses.
    • Liaise with litigation teams when corporate issues intersect with legal disputes.
