Randall provides general business counsel to both publicly- and privately-owned business entities. Such representation includes partnership and limited liability company formation and documentation, public and private finance, negotiation and drafting a broad array of general business contracts and more specialized representation, including merger and acquisition transactions, and asset and stock purchase transactions. His practice also regularly involves the representation of individuals and business entities in all aspects of taxation, with an emphasis on federal income tax planning and transaction counseling for individuals and businesses.
Randall is also significantly involved in the representation of real estate developers, syndicators and investors in connection with the documentation and syndication of real estate properties and the private placement of real estate investment funds. Due to the breadth of his general business and tax expertise, Randall functions in an outside “general counsel” role with many of his clients.
