Patterson Perrin is an attorney in the corporate section of Hallett & Perrin. He focuses his practice on private equity, private funds, mergers and acquisitions, joint ventures, and general corporate matters. He regularly advises registered and unregistered investment advisers with respect to investment management activities and the formation, structuring, marketing, and operation of private investment funds.

Patterson has experience representing clients in the formation, structuring and operation of private investment funds, operating companies, holding companies, joint ventures, and other entities. He advises and represents fund sponsors and other clients in connection with various securities law matters, including compliance with federal and state laws applicable to private offerings, private investment funds, and registered and unregistered investment advisers and other securities laws. He also advises private equity firms, family offices, real estate owners, real estate developers, and operating companies in structuring, negotiating, and documenting acquisitions, dispositions, joint ventures, preferred equity investments, capital raising and private placements. Institutional investors, private wealth management firms, and family offices seek his representation in their investments and co-investments into hedge funds, private investment funds, real estate funds, and other investment products.

Funds:

  • Representation of a private equity firm in formation of an oil & gas oriented real property asset income fund, including co-general partners and co-managers from two separate sponsors targeting $500 million in commitments 
  • Representation of a private equity firm in the co-investment and formation of over $100 million commercial real estate focused fund 
  • Representation of a hedge fund in the formation of a $250 million opportunistic co-investment fund
  • Representation of a private equity firm in the formation of a $50 million long-short energy transition sector focused fund
  • Representation of an energy sector private equity firm in the formation of a $50 million non-operating oil and natural gas property focused fund
  • Representation of a private equity firm in a $46 million funding round of a “better-for-you” consumer products business portfolio company
  • Representation of a hedge fund in formation of total AUM reorganization and consolidation fund
  • Representation of a real estate private equity client in a private offering of preferred membership interests in a multifamily unit holding company for up to $7 million in subscriptions
  • Representation of a real estate private equity client in a private offering of secured notes in an single-family-residence net-lease holding company for up to $10 million in subscriptions

 

Private Equity/Mergers and Acquisitions:

  • Representation of an upstream and midstream oil and gas client on the sell side of a sale of 50% of client’s assets to a foreign multinational corporation for more than $50 million
  • Representation of a modular building manufacturing company on the sell-side of a $100 million stock purchase acquisition by a competitor
  • Representation of an IT company on the sell-side in a more than $30 million sale of all equity interests in the company to a private equity firm
  • Representation of a utilities industry private equity firm on the buy-side of a more than $35 million acquisition of all the equity interests in two Georgia based utilities companies
  • Representation of an electrical services company on the buy-side of a more than $20 million acquisition of electrical servicing and installation corporation
  • Representation of a multi-industry company on buy-side of a $35 million acquisition of an industrial park operating company and real property assets
  • Representation of venture capital fund on the buy-side of a more than $9 million Series A preferred equity financing transaction with a space exploration and lunar rover company
