In addition to representing operating companies and issuers, the members of the corporate and securities section also represent a variety of investors, including funds, venture capitalists, merchant bankers and significant net worth individuals. This representation, although dealing with many of the same issues that arise in more conventional acquisition settings, has generated substantial experience pertaining to issues uniquely related to investors. These include issues relating to registration rights and other exit strategies, SBIC regulations, arrangements among co-investors, sophisticated preferred equity issuances, fund documentation, structures to ensure investor control or participation and disclosure covenants. Our experience in this practice niche often provides spillover benefits when we are engaged to represent issuers in negotiations with potential investors.
