Tim has experience with public offerings and private issuances of securities, mergers and acquisitions, federal securities law compliance, governance issues and contract negotiations. He has particular expertise in representing venture capital and private equity investors, as well as entrepreneurs. Although his practice is industry-agnostic, he has specific experience within the construction, technology, energy, retail and manufacturing industries.

Tim has also served as issuer counsel in numerous underwritten public offerings within the property and casualty insurance, retail, manufacturing and software industries. He also represents non-profits, startups and early stage clients because those relationships allow him to become an active participant in his clients’ success by assisting with governance, business and strategic issues in addition to simply providing legal advice.

Financings

  • Representation of construction client in $24M senior and mezzanine loan and equity financing
  • Representation of oil/gas company in financing the serial acquisition of salt water wells
  • Representation of oil and gas partnerships in equity financings aggregating approximately $80M.
  • Representation of lottery gaming software provider in connection with investments by $14B market cap bank and $1B hedge fund and in subsequent negotiations with state and foreign gaming authorities

Acquisitions

  • Representation of physician group in $35M+ sale to NYSE-listed health care company
  • Representation of software services company in $33M+ sale of assets to public software company
  • Representation of purchaser in $32M purchase of 5,000+ acre operating ranch in South Texas
  • Representation of French company in its purchase of Texas and India technology consulting companies.
  • Representation of private equity fund in multiple acquisitions of asphalt contractors for approximately $60M in the aggregate.
  • Representation of purchaser of Acquisition and sale of various specialty paper manufacturers for AMEX-listed client with aggregate transaction value of approximately $300M.
  • Representation of purchaser of Acquisition of aircraft parts distribution business for approximately $25M.
  • Representation of purchaser of North American Hockey League franchise.

Early Stage

  • Representation of founders in the structuring, formation and financing of distributor of anti-aging and performance-based dietary supplements
  • Representation of high net worth family in formation of hedge fund targeting investments in green technologies
  • Formation and non-exclusive representation of private equity fund with >$250M of committed capital
  • Formation and representation of fund focusing on early state investments
